Terms of business

These terms cover business commissions with Steve Kraitt trading as Rocket Lab London (we/us). You are the person or organisation commissioning the work. Your agreed quotation, proposal or Client Service Agreement forms part of our agreement and takes priority if the wording differs. You can accept by signing, including electronically, approving in writing or paying the first invoice after receiving these terms. Later changes to published terms do not alter our agreement unless we both agree in writing. An agency commissioning work is our client unless agreed otherwise. Any end client or brand using the work must be named in the agreement.

SERVICES AND CHANGES

We provide the agreed work with reasonable care and skill, using directed photography, compositing, retouching and AI-assisted production as appropriate. We agree the products, directions, final files, formats and accuracy requirements before production.

Website packages and starting prices are guides; your agreement confirms the work and price. Each final composition is a distinct image. Crops, resizes and exports do not count as extra compositions unless agreed. Physical shoots, product sampling, video, source files and unlisted services are excluded.

Estimates are guides; fixed prices change only by agreement. Extra work, fees and schedule changes need your written approval before we proceed.

PAYMENT

Unless agreed otherwise, 50% is due on acceptance before work starts, and 50% after approval of the completed preview, before final files are released. Invoices are due within seven calendar days. Your quotation states the fee, expenses and VAT position; approved external costs are extra unless included.

Your first payment counts towards the fee and is covered by the cancellation terms. Statutory late-payment interest and recovery costs may apply to qualifying business debts. We may pause unpaid work after seven days’ written notice. Rights already granted in fully paid work remain.

FEEDBACK AND APPROVAL

Unless agreed otherwise, two revision rounds are included: one on the initial direction and one on the completed preview. Each is one combined set of feedback and the resulting changes within scope. Corrections needed to meet our agreement do not count.

New directions, products, compositions or changes to approved work may need an agreed extra fee and schedule. Please check previews and approve in writing; silence is not approval. Approval does not remove your rights over faults or work that fails to meet our agreement.

YOUR REFERENCES AND PRODUCT DETAILS

Please provide complete, accurate references, brand guidance, product details, claims and text, and timely decisions. You confirm that supplied materials and instructions can lawfully be used for the project, including specifically authorised AI processing. You arrange permissions and releases for people, property and protected material you supply or arrange.

We agree critical requirements for shape, proportions, colour, packaging, labels, logos and readable text, assess feasibility and explain material limitations. AI imagery may need compositing or retouching; references cannot guarantee accurate unseen details or angles.

Please check product representations and your advertising claims against the agreed requirements before use. Legal advice and formal advertising or regulatory clearance are excluded unless agreed. We remain responsible for our work and correcting departures from those requirements.

TIMING

We confirm the production slot and target delivery date in writing, based on timely payment, references, access and feedback, and promptly explain changes. After 30 days without needed information or feedback, we may pause on written notice and agree a restart schedule.

If events beyond either party’s reasonable control cause delay, that party must promptly notify the other and take reasonable steps to reduce disruption. If completion is not reasonably possible, the cancellation terms apply.

OTHER SUPPLIERS AND COSTS

We agree chargeable external costs with you before incurring them. Recurring costs must identify the service, amount, billing frequency and renewal arrangements. You need not buy our production software unless agreed.

Other providers’ terms and technical limits apply. We explain material asset restrictions before you approve their inclusion. We remain responsible for our choice and use of tools, our subcontractors and our own errors or omissions.

COPYRIGHT AND USE

You keep rights in materials you supply. After full payment, we grant a non-exclusive, perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, publish and edit the final work for your business and any named end client, covering rights we own or can license.

Unless agreed otherwise, this includes websites, paid and organic social media, advertising, e-commerce, PR, presentations, print marketing, packaging and point of sale. You may crop, resize, add text and otherwise edit, and let agencies, printers and suppliers use the work solely on your behalf.

Independent resale, stock licensing or use for another business needs written agreement. Copyright stays with its owner unless assigned by signed agreement. Disclosed third-party rights and licence conditions still apply.

AI AND WORKING FILES

Copyright protection and enforcement for AI-assisted or generated material may vary with the human contribution, law and country. We cannot promise every element is protected, unique or impossible for others to generate independently. Our duty of care and responsibility for required permissions in material we introduce still apply.

We will not license or reuse your bespoke final work for another client. We retain our general skills, methods, production systems and know-how, subject to confidentiality and your rights. Draft generations, rejected concepts, layered files, prompts, model configurations and other working files are excluded unless listed as deliverables.

Our prior written agreement is needed to train or fine-tune AI with the work, or use it as prompts or references to generate more imagery. Ordinary editing allowed above remains permitted. Neither of us may use the work unlawfully, including in defamatory or deliberately misleading ways.

CONFIDENTIALITY AND DATA

We both protect confidential information, sharing it only for the project, with advisers bound by confidentiality, or as legally required. Confidential or personal information may enter generative AI services only with your written authorisation specifying the material, purpose and services, and with appropriate safeguards. Accepting these terms alone is not permission.

We need separate written permission to use your materials to train or fine-tune general-purpose AI or create work for other clients. Before authorised uploads, we assess provider terms, account settings, retention, access and model-training arrangements.

We each retain our data-protection duties. Processing personal data on your behalf needs separate written terms beforehand, covering instructions, security, subprocessors, transfers and return or deletion. Our Privacy Policy covers our own enquiries, contacts and administration; it does not replace those processing terms.

PORTFOLIO USE

Unless you tell us otherwise in writing, we may use assets created for your project, together with your name or brand, in our portfolio, website, social media, case studies, award entries and other promotion of our business. Please tell us in writing about any opt-out, confidentiality requirement or embargo. Existing confidentiality obligations and third-party rights still apply.

DELIVERY AND CORRECTIONS

We deliver final files electronically in the agreed formats after approval and full payment. Previews are for review, not publication. Please download and keep copies; ongoing storage or archiving needs separate agreement.

We correct faults reported within 30 days of delivery free of charge where the work does not meet our agreement. This period does not limit your statutory or contractual remedies. Out-of-scope changes and ongoing updates need separate agreement. Indefinite archiving, continuous monitoring and guaranteed emergency support are excluded.

CANCELLATION AND ENDING THE PROJECT

You may cancel in writing, paying proportionately for completed work at the agreed fee, including discounts, plus approved external costs that cannot be recovered. We take reasonable steps to reduce avoidable costs, provide an itemised account and paid-for work as it stands, credit your payments and refund any excess. The same applies if we cannot complete.

Either party may end the agreement for a material breach not put right within 14 days of written notice asking for this. Existing rights and liabilities remain. Paid-for work is licensed where we can license it; unfinished work is identified.

Monthly production needs written terms covering duration, scope, fees, billing, notice, unused capacity and renewal. A one-off project does not create an automatically renewing subscription.

LIABILITY

Where legally enforceable, our total liability connected with a project is limited to its fees paid or payable, and excludes indirect or consequential loss. We cannot guarantee sales, advertising results, platform acceptance or protection against every third-party claim.

Nothing limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything the law does not allow us to limit. Our duty to use reasonable care and skill remains. These limits are subject to applicable law, including reasonableness where required.

GENERAL TERMS

Changes need written agreement; email is sufficient for approvals and notices. Neither party may transfer its material obligations without the other’s written consent. We may use subcontractors and remain responsible for their work.

If one provision is invalid or unenforceable, the rest still applies. Delaying enforcement does not give up a right. England and Wales law and courts apply, without removing any mandatory consumer rights.
